Vancouver, BC – September 17, 2026 – TheNewswire - ("Smartwell" or the "Company") (TSXV: SMWE) announces the resignations of David Toyoda and Ian Mallman from its Board of Directors effective September 14  and September 12, respectively. The Company thanks them for their service.

Mr. Toyoda will be replaced immediately on the Company's Board of Directors by the Company’s President, Mr. Tony Chan. Mr. Chan has extensive years and experience in the financial markets as a principal of a brokerage firm as well as private equity company.  He has served as a director on several public companies as well as chairing another.

Mr. Mallman will be replaced as an Independent Director on the Company's Board of Directors by Ge Zijian. Ge Zijian holds a Bachelor of Pharmacy from China Pharmaceutical University and a Master of Laws from Tsinghua University. Ge is a Chinese Certified Accountant (CPA) as well as licensed PRC lawyer and holds the banking practitioner qualification. Ge has previously served as the Deputy Director of Haidian District Investment Promotion Bureau.  He is currently the Branch Manager of Hangzhou Bank’s Beijing branch.

He Yang, the Company’s Chief Executive Officer, has been appointed as Chairman of the Company's Board of Directors.

The Company’s audit committee will consist of Chris Twell (Chair), Dr. Paul Arnison and Ge Zijian.

The changes further strengthen the Company's Board of Directors expertise, enhance corporate governance, and support the Company's future business growth, capital markets objectives, and strategic initiatives.
